Terms and Conditions
These terms govern the use of UPayments, the payment gateway of Unique Capital Costa Rica. By opening an account or taking payments with UPayments you accept them, so please read them in full. If anything is unclear, write to us.
01
Who we are
UPayments is a service of Unique Capital Costa Rica that lets businesses accept digital dollars (USDT and USDC) and Bitcoin, and receive the amount in dollars without taking on the price risk. Unique Capital operates under Article 15 of Costa Rica’s Law 7786 and complies with the anti-money-laundering and counter-terrorist-financing rules supervised by SUGEF.
Where this document says "we", "the platform" or "the service", it means UPayments; "you", "your business" or "the business" means whoever contracts the service.
By opening an account, taking payments through the platform or using any of our tools, you accept these terms in full. If you disagree with any of them, do not use the service.
02
What the service does
UPayments creates charges that your customer pays in supported cryptocurrencies. At the moment of the charge we convert the amount to dollars at the current rate and credit it to your balance. You never need to open a wallet, hold keys or trade on an exchange.
The conversion happens at the instant of the charge. That means the amount you see confirmed is the amount you receive, whatever the price of the cryptocurrency does afterwards.
From your balance you pay out straight to your Unique Capital account, in US dollars or Costa Rican colones.
03
Account and verification
To operate you need to open an account and complete identity and business verification. We may ask for additional documentation at any time to comply with the anti-money-laundering and counter-terrorist-financing rules that apply to us.
- The information you give us must be true, complete and up to date.
- To pay out you need a Unique Capital account linked to your business.
- You are responsible for keeping your credentials confidential and for all activity carried out from your account.
- You must tell us without delay if you detect unauthorized access.
- We may refuse, suspend or close an account that does not pass verification.
04
Charges, conversion and payouts
The exchange rate applied to each charge is the one the platform shows when the charge is created, and it holds for the charge’s validity window. If that window expires before the payment is confirmed, the charge lapses and a new one has to be created.
Payouts are credited straight to your Unique Capital account, in dollars or colones, as you choose. You can pay out by hand or schedule it: daily, weekly, or once the balance passes an amount you set. If you pay out in colones, the exchange rate in force at the time of the payout applies.
- Only the holder of the business account can change the destination account.
- A payment counts as received once the relevant network confirms it, according to the thresholds we set for each asset.
- We may temporarily hold a payout if we detect signs of fraud or if a competent authority requires it.
05
Fees
The fee for each charge is deducted at the time of the transaction and itemized on the receipt. Paying out your balance to your Unique Capital account carries no separate fee.
We may change the fee structure with reasonable notice through the platform or by email. If you disagree, you can stop using the service before the change takes effect.
06
Your obligations
- Use the service only for transactions within your declared business activity.
- Comply with the tax, commercial and consumer-protection rules that apply to you.
- Deliver the goods or provide the services you charge for through the platform.
- Not present UPayments as the issuer, guarantor or party responsible for your relationship with your customer.
07
Prohibited uses
You may not use the service for unlawful activity or for the categories we expressly exclude. The list may be updated, and we will let you know through the usual channels.
- Money laundering, terrorist financing or evasion of international sanctions.
- Sale of goods or services that are illegal in the business’s or the customer’s jurisdiction.
- Pyramid schemes, guaranteed-investment or promised-return schemes.
- Identity theft, fraud or any attempt to circumvent our controls.
08
Refunds and chargebacks
Blockchain transactions are irreversible: once confirmed they cannot be undone on the network. You handle refunds to your customers from the platform, and they run as a new transaction, subject to your available balance.
Crypto payments do not go through a card network, so they have no chargeback in the traditional sense: any dispute with your customer is settled directly between you. Card payments taken with Tap to Phone follow the card networks’ rules and may be subject to chargebacks.
09
Risks you should know
- Blockchain networks can become congested or suffer outages, which can delay the confirmation of a payment.
- A payment your customer sends to the wrong address cannot be recovered by us.
- Although the conversion shields you from later price risk, the amount is fixed at the moment of the charge and not before.
- Regulatory changes may affect the availability of the service.
10
Service availability
We work to keep the platform continuously available, but we do not guarantee uninterrupted or error-free operation. We may carry out scheduled maintenance with notice where possible, and emergency maintenance when it is not.
11
Intellectual property
The platform, its code, its brand, its visual identity and its documentation belong to UPayments, to Unique Capital or to their licensors. Access to the service does not transfer any rights over them beyond the use needed to operate your account.
12
Limitation of liability
To the fullest extent permitted by applicable law, UPayments is not liable for lost profits, data loss, loss of opportunity, or indirect or consequential damages arising from the use of, or inability to use, the service.
Nothing in these terms excludes liability that cannot be excluded by law, including liability arising from fraud or gross negligence.
13
Suspension and closure
You can close your account whenever you want, once any pending balance has been paid out. We may suspend or close an account if you breach these terms, if a competent authority requires it, or if we detect a significant risk of fraud.
If we suspend your account we will tell you why, unless the applicable rules prevent us from doing so.
14
Changes to these terms
We may update this document. If the change is substantial, we will let you know through the platform or by email before it takes effect. The date of the last update always appears at the top of the page.
15
Governing law and contact
These terms are governed by the laws of the Republic of Costa Rica, and any dispute is submitted to the competent courts of Costa Rica, without prejudice to the rights consumer-protection rules grant you.
